Client-specific work products and recommendations developed during engagements are typically licensed to clients for their internal business use.

User Responsibilities

When using our website or services, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree not to use our website for any unlawful purpose or in any way that could damage, disable, or impair our services. Prohibited activities include attempting to gain unauthorized access to our systems, transmitting viruses or malicious code, interfering with other users' access, or engaging in any activity that violates applicable laws or regulations. You agree to use our services in good faith and to cooperate fully during consulting engagements by providing necessary information and access to relevant personnel and systems.

Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services. This includes but is not limited to loss of profits, data, or business opportunities. Our total liability for any claims arising from our services shall not exceed the fees paid by you for the specific service giving rise to the claim. We make no warranties or representations about the accuracy or completeness of website content or the results that may be obtained from using our services. While we strive to provide high-quality consulting services, business outcomes depend on numerous factors beyond our control, and we cannot guarantee specific results.

Confidentiality

We recognize that during consulting engagements, we may have access to confidential business information. We commit to maintaining strict confidentiality of all proprietary information shared with us, using it solely for the purpose of delivering consulting services. Our confidentiality obligations are detailed in separate non-disclosure agreements executed at the beginning of each engagement. Similarly, we expect clients to maintain confidentiality regarding our proprietary methodologies, tools, and any confidential information we share during the consulting process. Both parties agree not to disclose confidential information to third parties without prior written consent, except as required by law.

Payment Terms

Fees for consulting services are specified in individual engagement agreements. Payment terms, schedules, and accepted payment methods are outlined in these agreements. Unless otherwise specified, fees are due within thirty days of invoice date. Late payments may incur interest charges at the rate specified in the engagement agreement or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services if payments become overdue. All fees are exclusive of applicable taxes, which are the client's responsibility. Refund policies, if any, are specified in individual engagement agreements and vary based on the nature and stage of the consulting engagement.

Termination

Either party may terminate a consulting engagement according to the terms specified in the engagement agreement. We reserve the right to terminate or suspend access to our website immediately, without prior notice, for conduct that we believe violates these terms or is harmful to other users, us, or third parties. Upon termination of services, you remain obligated to pay for services rendered up to the termination date. Provisions of these terms that by their nature should survive termination shall remain in effect, including intellectual property rights, confidentiality obligations, limitation of liability, and dispute resolution provisions.

Governing Law and Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of Sweden, without regard to conflict of law principles. Any disputes arising from these terms or our services shall first be addressed through good faith negotiations between the parties. If negotiations fail to resolve the dispute within thirty days, either party may pursue resolution through binding arbitration or litigation in the courts of Stockholm, Sweden. You agree to submit to the personal jurisdiction of these courts for the purpose of litigating any such claims. This governing law provision applies to the maximum extent permitted by applicable law.

General Provisions

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining terms remain in full force and effect. Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. These terms, together with our Privacy Policy and any engagement agreements, constitute the entire agreement between you and us regarding use of our website and services. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
